1. Introduction and programme description

The A2B2 Member Get Member Programme ("MGM") allows existing A2B2 subscribers ("Referrers") to invite others ("Referees") to subscribe to the A2B2 platform. Both the Referrer and the Referee receive a one-time credit reward when the Referee subscribes and meets the vesting conditions described in Section 5.

The MGM is a user referral programme only. A2B2 is an intelligence platform, not an investment adviser, broker-dealer, or asset manager. Nothing in the MGM creates an advisory, distribution, solicitation, or agency relationship between A2B2 and any participant. Referral rewards are granted for introducing new subscribers to the platform, not for directing, recommending, or facilitating any investment decision or transaction.

2. Eligibility

The MGM is open to all active A2B2 subscribers in good standing.

MGM rewards are available when the Referee subscribes to one of the following tiers: Arcus, Bridge, Cypher, or Decoder. Current tier names, features, and pricing are published at a2b2.ai/pricing. A2B2 may rename, add, or retire tiers; any such change does not affect rewards already confirmed to you.

Business development representatives of A2B2 (including Equora AI Limited and Equora AI and Technologies, Inc.) are not eligible to participate in the MGM. Referrals made by BD team members are governed exclusively by A2B2's internal Sales Incentive Policy. Other A2B2 employees may participate on the same terms as any other user.

Subscribers on CIO or Enterprise tiers (including Enterprise Basic, Enterprise Professional, and Enterprise Max) are not eligible to participate in the MGM as Referrers or Referees. If you migrate from an eligible tier (Arcus, Bridge, Cypher, or Decoder) to a CIO or Enterprise tier, any unvested referral rewards are forfeited. If you later return to an eligible tier, you may participate in the MGM on standard terms from that point forward, but forfeited rewards are not reinstated.

The Referee must not have held an active paid A2B2 subscription within the preceding 12 months. For the avoidance of doubt, a person whose most recent subscription ended more than 12 months ago is eligible as a Referee on the same terms as a first-time subscriber.

3. How to refer

A Referrer generates a personal referral link and an 8-character invite code within the A2B2 platform or via a Sharing Card. No Referee email address is required to generate or share the link or code.

The Referee may use the referral link (which pre-fills the invite code automatically) or manually enter the Referrer's 8-character invite code on the A2B2 signup page. The Referee then subscribes to a qualifying tier. The referral is attributed at the point of the Referee's signup.

Attribution rules. Each Referee can be attributed to one Referrer only. The referral link used at the point of signup determines attribution. If the Referee does not use a referral link at signup but has clicked a referral link within the preceding 30 days, the most recently clicked link applies. Referral links expire after 30 days of inactivity. Where multiple Referrers claim the same Referee, A2B2's attribution records are final and binding. A2B2 does not adjudicate disputes between Referrers over attribution.

4. Reward structure

Rewards are credits, paid equally to both Referrer and Referee. The reward amount is determined by the lower of (a) the tier the Referee subscribes to at signup and (b) the lowest tier the Referee holds at any point during the vesting window described in Section 5. If the Referee downgrades during the vesting window, both the Referrer's and the Referee's rewards adjust downward to match the lower tier's reward amount. The base reward amount for each eligible tier is published at a2b2.ai/pricing and may be updated from time to time. The reward does not vary based on the Referrer's tier, role, or relationship with the Referee.

5. Vesting

Rewards are not credited immediately. Credits are deposited once the Referee's subscription reflects three months of value:

• Quarterly or annual subscribers: immediately upon first payment (since the payment covers at least three months upfront).
• Monthly subscribers: upon the third consecutive monthly payment.

If the Referee cancels their subscription before the vesting condition is met, the reward is forfeited for both Referrer and Referee. A forfeited referral returns one cap slot to the Referrer (see Section 8).

If the Referrer's subscription lapses before the vesting condition is met, the Referrer's reward is held for 90 days. If the Referrer reactivates a qualifying subscription within that 90-day period, vesting resumes from where it left off. If the Referrer does not reactivate within 90 days, the Referrer's reward is forfeited. The Referee's reward is unaffected in either case; the Referee still receives their reward even if the Referrer's reward is forfeited.

If a monthly Referee switches to quarterly or annual billing during the vesting window, the vesting condition is met as soon as the Referee's total paid subscription value covers three months.

Both Referrer and Referee can view their pending reward amount and expected landing date on the A2B2 credits screen.

5A. Regulatory awareness

If you are subject to regulatory requirements in connection with your professional activities (including requirements imposed by the SEC, FINRA, SFC, HKMA, or any other financial regulator), you are solely responsible for determining whether your participation in the MGM is consistent with those requirements. A2B2 does not provide advice on your regulatory obligations. A2B2 reserves the right to request evidence of compliance approval or to exclude any participant whose participation would, in A2B2's reasonable opinion, create regulatory risk for the platform.

Without limiting the generality of the above, if you are a registered representative, investment adviser representative, or associated person of a FINRA member firm, or a licensed representative of an SFC-licensed corporation, you acknowledge that referral rewards may constitute non-cash compensation or a benefit that is subject to your firm's policies, FINRA Rule 3220, SFC Code of Conduct General Principle 6, or equivalent rules in your jurisdiction. You are solely responsible for obtaining any required pre-approvals from your firm or regulator before participating.

6. Credit terms

Credits earned through the MGM are added to your standard credit balance. Credits carry a validity period of 365 days from the date of deposit.

Credits are subject to the validity period and balance cap set out in the A2B2 Platform Terms of Use. In the event of any conflict between this Section 6 and the credit terms in the Platform Terms of Use, the Platform Terms of Use prevail.

6A. Interaction with other offers

MGM rewards may be earned alongside other A2B2 promotions unless stated otherwise. The following rules apply:

(a) Payment-mode discounts (quarterly or annual billing discounts) stack with MGM rewards. Your MGM reward is calculated on the subscription price you actually pay.

(b) Welcome Offer credit doubling applies only to your recurring credit allocation, not to any one-time MGM reward. For example, if your tier's recurring monthly credits are doubled under the Welcome Offer, your MGM reward remains at the standard amount shown in the reward table.

(c) Group Buy participation is independent of MGM. A user who joins via Group Buy may later participate in MGM as a referrer or referee on standard terms.

A2B2 may introduce, modify, or retire promotional offers at any time; any such change does not affect MGM rewards already confirmed to you.

7. Referrer obligations

You must not misrepresent the A2B2 platform, the MGM, or any of A2B2's services when making referrals. Referral communications must not contain false claims, misleading statements, or spam.

If you share your referral link or invite code publicly (including on social media, in newsletters, on a website, or in any client-facing communication), you must clearly disclose that you receive a benefit from A2B2 for successful referrals. A disclosure such as "I receive a reward from A2B2 if you sign up through this link" or substantially similar language is sufficient. This requirement applies to all participants and is in addition to any disclosure obligations imposed by your regulator, firm, or applicable law.

8. Abuse controls and enforcement

A2B2 monitors referral activity and reserves the right to withhold, reverse, or forfeit rewards and to suspend or terminate your participation if it determines, at its reasonable discretion, that you have:

• Engaged in self-referral, synthetic account creation, or referral link manipulation
• Used the same payment method or device to create multiple referee accounts
• Engaged in referral clustering or other patterns indicative of programme abuse
• Violated any provision of these Terms or the A2B2 Platform Terms of Use

A2B2 may also withhold, delay, or reverse rewards, and may report activity to the relevant authorities, where A2B2 reasonably suspects that referral activity is connected with money laundering, terrorist financing, sanctions evasion, or any other financial crime. A2B2 reserves the right to request identity verification or additional information from any participant in connection with its legal and regulatory obligations.

Referral cap. Each Referrer may earn rewards for up to 10 successful referrals per calendar year (resetting each January). The cap counts against the referral/signup date, not the vesting date. The cap applies only to the Referrer: every qualifying Referee receives their own reward regardless of how many people the Referrer has referred in total. Once a Referrer's annual cap is reached, further referrals in the same year go unrewarded for the Referrer; the Referee is unaffected.

9. Programme changes

A2B2 may modify, suspend, or discontinue the MGM at any time.

A2B2 will provide at least 30 days' notice of material changes to reward amounts, reward types, or eligibility criteria. Notice will be given by email to the address associated with your A2B2 account, by in-app notification, or both. Non-material changes (such as corrections, clarifications, or formatting updates) may take effect immediately.

10. General provisions

10A. Privacy and data

A2B2 collects and processes personal data in connection with the MGM in accordance with the A2B2 Privacy Policy. Referral activity data (including referral links generated, referrals completed, and rewards issued) is retained for as long as your A2B2 account is active and for such additional period as required by applicable law.

10B. Governing law and entity

The MGM is operated by Equora AI Limited (Hong Kong) for users in Hong Kong and the rest of the world, and by Equora AI and Technologies, Inc. (Delaware) for users in the United States.

These Terms are governed by the laws of Hong Kong SAR (for non-US users) or the State of Delaware (for US users). Disputes arising under these Terms shall be resolved in accordance with the dispute resolution provisions in the A2B2 Platform Terms of Use.

10C. Tax

MGM rewards (including credits) may have tax implications depending on your jurisdiction and personal circumstances. You are solely responsible for determining and fulfilling any tax obligations arising from rewards received under this programme, including any income reporting, withholding, or filing requirements. A2B2 does not provide tax advice. Where required by applicable law, A2B2 may report the value of rewards issued to you to the relevant tax authority.

11. Publication

These Terms are published in the Promotion Terms section of the A2B2 website at a2b2.ai/legal/promotions. The Promotion Terms section hosts the terms and conditions for all A2B2 promotions, including the MGM. The version published on the website is the authoritative version; any cached or offline copy is for convenience only.
